1. Services

Consultant will provide scientific consulting services including, but not limited to:

• Analytical method strategy
• Research design and data interpretation
• Regulatory and compliance guidance
• Manuscript review and scientific writing

A detailed Statement of Work (SOW) may be attached as Appendix A.

2. Deliverables & Timeline

Deliverables, milestones, and timelines will be mutually agreed upon in writing. Delays caused by the Client may extend timelines.

3. Compensation

4. Confidentiality & Data Protection

6. Compliance

Consultant will follow applicable scientific, ethical, and regulatory standards. Client is responsible for ensuring their own regulatory compliance.

7. Indemnification

Client agrees to indemnify Consultant against claims arising from:

• Misuse of deliverables
• Client-provided materials
• Client’s violation of laws or third-party rights

8. Termination

Either party may terminate with 15 days written notice. Client must pay for completed work and any non-cancelable commitments.

9. Dispute Resolution

Disputes will be resolved through negotiation, and if necessary, mediation or arbitration.
